PHOENIX — Radyne Corporation
(Nasdaq:RADN) announced the signing of a definitive merger agreement with Comtech Telecommunications Corp (Nasdaq:CMTL) pursuant to which Comtech has agreed to acquire Radyne in an all-cash transaction.
Under the terms of the merger agreement, unanimously approved by both companies’ Boards of Directors, Comtech will make a first step cash tender offer at $11.50 per share, which represents a premium of approximately 33.0% over Radyne’s average closing price over the last ninety trading days.
